Welcome to SeasonHub ("we," "us," "our," or "Platform"). By accessing or using our website, mobile application, or services, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms").
These Terms constitute a legally binding agreement between you and SeasonHub. If you do not agree with any part of these Terms, you must immediately discontinue use of our services.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.
2.1 Age Requirement
You must be at least 18 years of age to use SeasonHub. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.
2.2 Account Creation
To sell tickets on our Platform, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3 Account Security
You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
2.4 Prohibited Users
We reserve the right to refuse service, terminate accounts, or cancel transactions at our sole discretion, including but not limited to situations involving fraudulent activity, violation of these Terms, or suspicious behavior.
3.1 Ticket Eligibility
You may only submit tickets that you legally own and have the right to transfer. Tickets must be legitimate, valid, and transferable through recognized ticketing platforms such as Ticketmaster, AXS, SeatGeek, or Vivid Seats. We do not accept parking passes, non-transferable tickets, or fraudulent tickets.
3.2 Submission Process
When submitting tickets, you must provide accurate and complete information including event name, date, venue, section, row, seat numbers, and quantity. False or misleading information may result in rejection of your submission and potential account suspension.
3.3 Offers
After reviewing your submission, we may extend an offer to purchase your tickets at a price determined by our proprietary pricing algorithm based on market conditions, demand, event date, and seat location. Offers are not guaranteed and are made at our sole discretion.
3.4 Offer Acceptance
Offers are time-limited and may expire if not accepted within the specified timeframe. By accepting an offer, you agree to transfer the tickets to us and complete the transaction according to these Terms.
3.5 Ticket Transfer
You must transfer tickets to us within 24 hours of accepting an offer using the original ticketing platform's transfer mechanism. You agree to provide transfer links, confirmation screenshots, or other proof of transfer as requested.
3.6 Verification
We reserve the right to verify the authenticity and validity of all tickets before processing payment. Verification may include checking transfer receipts, accessing ticket accounts, or contacting the original ticket issuer.
4.1 Payment Method
All payments are made exclusively in Solana (SOL) cryptocurrency. By using our Platform, you agree to receive payment in SOL and understand that we do not offer traditional payment methods such as bank transfers, checks, or credit card payments.
4.2 Wallet Requirements
You must provide a valid Solana wallet address to receive payments. You are solely responsible for ensuring the accuracy of your wallet address. We are not liable for payments sent to incorrect or invalid wallet addresses provided by you.
4.3 Payment Timing
Payments are processed within 5-10 minutes after we verify receipt and validity of your tickets. All payments are final and non-refundable once sent to your wallet address.
4.4 Cryptocurrency Risks
You acknowledge that cryptocurrency markets are highly volatile and that the value of SOL may fluctuate significantly. We are not responsible for any gains or losses resulting from changes in cryptocurrency value after payment is sent.
4.5 Transaction Fees
We cover all blockchain transaction fees. The offer amount displayed is the exact amount you will receive in your wallet. However, you may incur fees when converting SOL to fiat currency through third-party exchanges.
4.6 Withdrawal of Balance
Any accumulated balance in your account can be withdrawn to your specified Solana wallet address. Withdrawal requests are typically processed within 1-2 business days. We reserve the right to delay or deny withdrawals if we suspect fraudulent activity.

7.1 No Refunds
All sales are final. Once payment has been sent to your wallet address, we do not offer refunds under any circumstances, including but not limited to changes in cryptocurrency value, event cancellations, or buyer's remorse.
7.2 Submission Cancellation
You may cancel a ticket submission at any time before accepting an offer. Once you accept an offer, the sale becomes binding and cannot be cancelled.
7.3 Event Cancellations
If an event is cancelled or postponed after we purchase your tickets, we assume all risk and responsibility. You keep the payment regardless of event status changes.
7.4 Rejected Tickets
If tickets are rejected during verification due to invalidity, fraud, or discrepancies, no payment will be issued. The tickets remain your property and may be re-submitted after correction, subject to our review.
8.1 Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASHRESALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

You may terminate your account at any time by contacting our support team. Termination does not relieve you of obligations incurred prior to termination.
11.3 Effect of Termination
Upon termination, your right to use the Platform immediately ceases. Any pending transactions will be completed according to these Terms. You remain liable for all obligations incurred prior to termination.

Before initiating formal dispute resolution, you agree to first contact us at support@seasonhub.com to attempt to resolve the dispute informally for at least 30 days.
12.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English in the United States.
12.3 Class Action Waiver
YOU AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to these Terms (not subject to arbitration) shall be brought exclusively in the federal or state courts located in Delaware.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, internet failures, or government actions.
